Welcome to BlkBoxConcepts LLC's Email Hosting Services. This agreement ("Agreement") is entered into between You and BlkBoxConcepts LLC ("BlkBoxConcepts"), a company providing Email Hosting and related services via the website at http://www.blkboxconcepts.com. By proceeding with the registration process and setting up your email hosting, you confirm that you are eligible for our Email Hosting Services and agree to adhere to all the terms and conditions outlined in this Agreement.

1. Service Term & Renewal

BlkBoxConcepts' email hosting services are billed annually for a duration of twelve (12) months. Your email hosting services will automatically renew for an additional 12 months on your renewal date unless you opt to cancel the service before the renewal date. Each successful renewal extends this agreement for an additional 12 months. If you do not wish to renew your services, you can disable the auto-renewal feature within your account.

2. Billing and Payment Information

Our email hosting prices are quoted in USD, and all prices displayed are in USD. We accept payments for email hosting services via major credit cards, including AMEX, Mastercard, and Visa. BlkBoxConcepts reserves the right to adjust prices at any time.

When selecting a billing tier for your email hosting, you will be charged the full amount associated with that tier subscription. Inactive or unused inboxes during your subscription period are not eligible for partial or full refunds.

In the event of a decline, chargeback, or any other payment rejection of payable Fees on your BlkBoxConcepts account ("Chargeback"), it will be considered a breach of your payment obligations under this Agreement, and your Email Services may be automatically disabled or terminated. We encourage you to reach out to our Customer Support team with any payment-related questions or concerns before initiating a Chargeback or payment reversal. You will be responsible for any incorrect fees, losses, and expenses resulting from such actions.

3. Mass Mailing / Acceptable Use Policy

To register for Email Services, you must provide complete and accurate information during the registration process. You are responsible for complying with all local, national, and international laws and regulations. Additionally, you agree to assume sole responsibility for all actions and omissions conducted under your username and password, including the content of transmissions sent through our Email Service.

By using our Email Service, you agree not to engage in inappropriate activities, including but not limited to:

  • Sending unsolicited advertisements (spam).
  • Sending email in connection with surveys, contests, pyramid schemes, chain letters, junk email, or any other unsolicited messages.
  • Collecting information about others without their prior consent.
  • Attempting to gain unauthorized access to our services, other accounts, computer systems, or networks connected to the Email Service.
  • Publishing, distributing, or disseminating materials that are inappropriate, profane, indecent, defamatory, infringing, obscene, or unlawful according to applicable laws or regulations.
  • Transmitting or uploading materials intended to defame, harass, threaten, abuse, stalk, or harm other individuals.
  • Transmitting or uploading harmful materials such as viruses or other malicious programs.
  • Transmitting or uploading materials that violate intellectual property laws, trademark and copyright laws, or rights of privacy unless you own or control the rights to the material or have obtained the necessary permissions.
  • Creating a fake identity for deceptive purposes.
  • Sending emails to a large number of addresses (mass mailing). Emails sent to more than 8 email addresses at one time may be flagged and disabled at our discretion.

BlkBoxConcepts reserves the right to terminate any account believed, at our sole discretion, to be engaging in the activities mentioned above or using the Email Service to send spam or other unsolicited commercial messages. You agree to assume liability for any damages resulting from the misuse of our Email Service.

4. Exceeding Disk Storage

BlkBoxConcepts email inboxes include 5GB of file storage. If your account exceeds this 5GB limit at any point, we will notify you via email. You will have 7 days to reduce your storage below the 5GB limit.

If storage is not reduced below the limit within 14 days, the inbox may be suspended, and additional storage fees may apply to reactivate the inbox with a larger storage capacity. Please note that we are not responsible for ongoing email backups.

5. Email Account Deletion / Retention / Cancellation

Upon the expiration of your Email Services, your inbox will continue to send and receive emails for a grace period of 14 days. After the grace period expires, the email account will be disabled, and you will not be able to send or receive emails until the billing subscription is renewed.

If an email account remains inactive for 30 days following a failed renewal, it will be automatically deleted, and recovery will no longer be possible. BlkBoxConcepts reserves the right to terminate Email Services at any time without providing a refund.

6. Non-Guarantees

BlkBoxConcepts does not guarantee that Email Services will be completely uninterrupted, error-free, or entirely secure. You acknowledge the inherent risks associated with internet connectivity, which may result in the loss of privacy, customer data, confidential information, and business property.

You agree that your use of our services is at your own risk and is provided on an "as is," "as available" basis. We explicitly disclaim all warranties, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

BlkBoxConcepts will not be liable for:

  • Loss or suspension of the email service.
  • Interruption of the email service or your business.
  • Access delays or interruptions to the service.
  • Loss or liability resulting from acts beyond our control.
  • Data non-delivery, corruption, or destruction.
  • Loss or liability from the unauthorized use of your account or password.

We will not be liable for any indirect, special, incidental, or consequential damages of any kind, including lost profits, regardless of the form of action (whether in contract, tort, or otherwise), even if we have been advised of the possibility of such damages.

You agree that our total liability and your exclusive remedy for any services provided under this Agreement and any breach of this Agreement are solely limited to the amounts you have paid to us over the last twelve months.

8. Indemnification

You agree to indemnify, defend, and hold harmless BlkBoxConcepts and its directors, officers, shareholders, employees, servants, and suppliers against all claims, liabilities, damages, costs, and expenses, including legal fees on a full indemnity (solicitor-client) basis. This indemnification extends to claims arising from a breach of this Agreement, the use of our Website, the use (or misuse) of any and all BlkBoxConcepts Property, as well as potential claims, liabilities, damages, or costs resulting from third-party claims, including copyright infringement.

9. Complaints & Legal Challenges

If BlkBoxConcepts becomes involved in any legal action related to your use of our Email Services, you agree to assume responsibility for all of BlkBoxConcepts' costs and legal fees and to indemnify and hold BlkBoxConcepts harmless from any such action.

If BlkBoxConcepts is informed of a complaint filed with a judicial or administrative body regarding your use of our Email Services, BlkBoxConcepts may, at its sole discretion, take actions such as suspending your Email services or depositing control of your Email Services with the appropriate judicial entity.

10. Jurisdiction

This agreement is governed by and will be enforced in accordance with the laws of the State of Missouri, United States. Any action against BlkBoxConcepts arising from or related to this agreement must be brought in the state or federal courts located within the State of Missouri, and you consent to the exclusive jurisdiction of such courts.

11. Modification to Terms of Service Agreement

BlkBoxConcepts reserves the right to change or modify this Agreement at any time. In the event of such changes or modifications, we will notify you by posting an updated version of this Agreement on our website. It is your responsibility to regularly review this Agreement. Your continued use of the Email Service after any changes or modifications shall constitute your acceptance of the terms and conditions set forth in the modified Agreement.
